Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Cinch Express website and related marketing pages (the "Site"), including forms used to express interest in driving for or partnering with Cinch Express. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Cinch Express ("Cinch," "we," "us," or "our") operates the Site to recruit local drivers and businesses in our launch markets, currently Dallas, Houston, and Austin, Texas.

2. Who these Terms cover

These Terms apply to visitors and people who submit interest forms on the Site. They do not create an employment, contractor, partnership, or delivery-services agreement. Any later driver, courier, or business relationship will be governed by separate written agreements presented at that time.

3. The Site is informational

The Site describes a planned last-mile delivery platform and invites interest from drivers and businesses. Content on the Site—including earnings claims, vehicle preferences, market coverage, timelines, and product features—is for general informational and recruiting purposes only. It is not a guarantee of work, pay, acceptance onto the platform, delivery volume, or launch timing.

4. Interest forms

If you submit a driver or business interest form, you represent that:

• The information you provide is accurate and complete
• You are at least 18 years old
• You have authority to submit the information (including on behalf of a business, if applicable)
• You consent to Cinch contacting you about recruitment, onboarding, or related follow-up using the contact details you provide

Submitting a form does not obligate Cinch to accept you as a driver or business partner, and does not obligate you to join the platform.

5. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Submit false, misleading, or fraudulent information
• Attempt to interfere with, scrape, reverse engineer, or disrupt the Site or its systems
• Use automated means to submit forms or access the Site without our prior written permission
• Impersonate another person or misrepresent your affiliation with a business

6. Intellectual property

The Site and its content—including branding, logos, text, graphics, and design—are owned by Cinch Express or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Site content without our prior written consent, except for limited personal, non-commercial use incidental to browsing the Site.

7. Third-party services

The Site may rely on third-party services (for example, email delivery providers) to operate forms and communications. Your use of those services may also be subject to their terms. We are not responsible for third-party sites or services we do not control.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINCH EXPRESS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

10. Indemnity

You agree to indemnify and hold harmless Cinch Express and its officers, directors, employees, and agents from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your submission of inaccurate information, or your violation of these Terms.

11. Privacy

How we collect and use information is described in our Privacy Policy. By using the Site, you acknowledge that policy.

12. Changes

We may update these Terms from time to time. The "Effective date" at the top will change when we do. Continued use of the Site after changes means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Courts located in Texas will have exclusive jurisdiction over disputes arising from these Terms or the Site, subject to applicable law.
